1.DEFINITIONS

Terms of the document is a legally binding agreement between ”Tomhelmandpartners” and “client” when refering to the website design or development. These terms and conditions set here describe the arrangements between the two parties.

Tomhelmandpartners is a provider of web design, HTML, CSS, Javascript and other programming languages.

Definitions:

Client: The company or person requesting services from Tomhelmandpartners.

Tomhelmandpartners: Is the principal designer ,builder and promoter of your project.

General

Tomhelmandpartners will work only if the agreement can be obtained either by e-mail, telephone, mail or fax. Tomhelmandpartners will work  for customers who are 18 years older. “Order” shall be deemed a contract if agreement is reached by written contract, verbal contract, telephone agreement, fax agreement or email.

Website Design

We make every effort to insure, the site and the scripts or programs are free of errors, Tomhelmandpartners can not be held responsible for the loss of a malfunction, of the site or part of the above.

Site graphics and all the programming code remain the property of Tomhelmandpartners until all outstanding accounts are paid in full.

Scripts, CGI applications, PHP scripts, or software remain the property of tomhelmandpartners(unless agreed)to in writing by Tomhelmandpartners. The website content are the property of tomhelmingerandpartners, and may not be copied or sold.

Tomhelmandpartners can not accept responsibility for any copyright infringements caused by materials submitted by the client. We reserve the right to reject any material that is copyrighted, unless sufficient evidence is given granting permission to use such material.

Any additions to briefs, will be done at the discretion of Tomhelmandpartners. Tomhelmandpartners is not responsible to ensure such additions are error-free, and we reserve the right to charge any addition that are assigned to us after the contract is in effect.

Customer agrees to make available all the necessary equipment, and information, to supplement the site within 5 working days.

Tomhelmandpartners is not responsible for costs incurred, compensation or loss of income because of failure to meet agreed deadlines.

Tomhelmandpartners is not responsible for, and will not participate in any dispute between the site owner and this customers. And can not be held responsible for any wrongdoing by the site owner.

Tomhelmandpartners is not responsible for costs incurred, compensation or loss of income due to work performed on behalf of the client’s or customer’s authorized representatives.

Tomhelmandpartners is not responsible for costs incurred, compensation or loss of income, for work that was performed by subcontractors that supply the, servers, software or hardware for the project.

 

Payment of 50% for all projects is needed before any design work done.

When a site is designed and implemented the balance of payments is then due in accordance with our terms of payment. No exceptions, ie, if a customer decides that they no longer want the site, payment must be made for the work that has been completed plus 20% of the total cost of the contract.Once full payment has been received for the project, i the project will havebeen completed to the satisfaction of customers and no refunds are offered. We offer free updates for one month after the end of the contract to correct any mistakes.

The database, application and development of E-Commerce

Tomhelmandpartners is not responsible for losses of use of software that was created for the customer. Although we carefully inspect and test all products, the final responsibility for accurate workabilty is the customers responsibilty.

Scripts, applications and software are the property of tomhelmandpartners, and (unless agreed) on, in writing, may not be copied, or sold. If applications or sites are placed on servers not recommended by Tomhelmandpartners, the customer must provide or retrieve information, additional software, needed to properly install the application.

The product, will be tested before delivery, to the customer. but the end customer has the primary responsiblity  of testing, the product, before, widespread use. If busg, errors or other issues are found with the product, once the product is on ling. Tomhelmandpartners will not be held responsible. Tomhelmandpartners will attempt to correct the problem, but are not obligated to do so.

Compatibility

Tomhelmandpartners ensure that any developed / designed site or application has been tested on the server where it was initially installed, and  worked correctly when viewed in a Web browser, Microsoft Internet Explorer version 6  and Mozilla browsers. Tomhelmandpartners can offer no guarantee of proper functioning in all browsers.

Web hosting

Although Tomhelmandpartners recommends hosting companies no guarantee can be made  for non-availability or interruption of this service Tomhelmandpartners will not be responsibile for loss caused by absence, malfunction or interruption of this service, or for loss of  sales, income, profits or consequential damages.

Tomhelmandpartners reserves the right to refuse materal which may be considered offensive, illegal or controversial. Also reserves the right to terminate any free hosting service for the same reason. 

Website optimization

There will be no guarantee as to the ranking of a website. Self-optimizing websites bring more traffic, which in turn more sales. Tomhelmandpartners will advise the client as to the workings of search engines and recommend ways to get better rankings of there site. Other than the promotions, included in the contract, all promotions will be extra charges.

We use white hat techniques , while optimizing your websites, and  seeking a top ten ranking within six months of commitment to the optimization process. Rankings can not be guaranteed because of the changes in the search engines process. Our company strives to stay currant with this process, and make the changes needed to keep your site as high as possible in the rankings, as related to the dollars spent for this process.

Tomhelmandpartners reserves the right to refuse, material which may be considered offensive or illegal. Tomhelmandpartners will be the sole judge of this material.

Payment of accounts

Deposit is required before any work is started. Payment must be paid in full before the product is assigned to the customer.

Formal complaints procedure

Formal complaints procedure should only be used if the complainant believes that the nature of the complaint is too serious a matter dealt with informally, or if a satisfactory conclusion has been reached, even after the informal procedure.

A formal complaint must be made in writing to Tomhelmandpartners, who shall acknowledge receipt of the information and work to resolve the problem withing 7 working days.
